| AFFILIATE TERMS &
CONDITIONS |
By completing the signup form you acknowledge that
you have read the terms and conditions, understand, and agree with them.
These terms and conditions apply to an individual's or entity's
participation in Living Designs co uk Ltd Affiliates.
In these Terms and
Conditions, "we" or "us" means Living Designs co uk Ltd and "you" means the
applicant.
Joining our Affiliates
By completing the signup
form and subject to our approval (which is confirmed by our activating your
affiliate number), you will automatically become an affiliate and are bound by
the terms of this agreement.
Your participation in the program is solely
for this purpose: to legally advertise our website to receive a commission on
products purchased by your referral individuals.
Revocation of Affiliate
Status
Your affiliate application and status in the program may be
suspended or terminated including but not only for any of the following
reasons:
Inappropriate advertisements (False claims, misleading
hyperlinks),
Spamming (mass email, mass newsgroup posting, etc...),
Advertising on sites containing/promoting illegal activities or which
include any material which we deem to be unsuitable in any respect at our sole
discretion
Violation of intellectual property rights.
Affiliate Links
You may use graphic and text links both on your website and in
emails.
You may only use the graphics and text links provided to you by
us.
Affiliate Tracking
When a web surfer clicks through your
affiliate link, a cookie is set in their browser that contains your affiliate
username. Also, their IP address is tracked in the database along with your
affiliate name. When this person decides to buy a product, the script will look
for this cookie and/or try to match their IP address to identify the affiliate
who will be awarded the commission.
Only visitors sent directly through
your affiliate link who make a purchase during that visit qualify for
commission
Terms of the agreement
These terms will begin upon
your signup with the affiliate program and will end when your affiliate account
is terminated. The terms of this agreement may be modified by us at any time.
If any modification to the terms is unacceptable to you, your only choice is to
terminate your affiliate account.
We pay our UK affiliates in UK Pounds by
Cheque or PayPal if you are in the UK.
If you are not in the UK we pay in UK pounds by Paypal only
- please ensure you have a Paypal account before applying.
Your continuing participation in the program
will constitute your acceptance of any change. We pay you when your total
commissions are £20 or more. If your commissions total is less than
£20, the current month's commissions are rolled over to the next month,
until your amount due is at least £20.00.
The commission payout
includes all taxes that might apply in your country or state. If you have have
to pay or collect taxes for the payment, you have to deduct the amount for the
tax from the amount paid to you.
Liability
We will not be liable for indirect or accidental
damages (loss of revenue, commissions) due to affiliate tracking failures, loss
of database files or other reasons. We do not make any expressed or implied
warranties with respect to the affiliate program and/or products sold at this
site. We make no claim that the operation of the affiliate program and our
website will be error-free and we will not be liable for any interruptions or
errors.
Commission
Subject to the terms and conditions of this
Agreement, you will be paid commission for each customer referred from your
site who purchases from our site during that visit. If the customer revisits
our site at a later time and not via your link, no commission is payable.
If it is later found that the customer's purchase was refunded in full or part,
we retain the right to withhold or deduct an appropriate amount from any
payments to you.
The affiliate scheme relies on cookies to track customers.
If for whatever reason, the customer isn't using cookies, or the cookie expires
or the customer deletes the cookie, they cannot be tracked and you will not
earn commission for any sales that customer may make. If at any time the
commissions owed to you become less than the total deductions due to refunds as
mentioned above the difference shall be immediately payable to Living Designs
co uk Ltd.
Commission may not be paid to an affiliate if the details we hold
for that affiliate are not accurate. It is the affiliate's responsibility to
ensure that we are notified of any change in their details such as email or
postal address. We also reserve the right to cancel commission payments if we
believe that there has been any fraudulent attempts to use the
service.
Your Responsibility
You will be solely responsible for
the development, operation, and maintenance of your site and for all materials
that appear on your site. You will indemnify, defend and hold us harmless from
all claims, damages, and expenses (including, without limitation, legal fees)
relating to the development, operation, maintenance, and contents of your site
as well as any goods or services provided or made available by you. These
obligations will survive any termination of this Agreement. You acknowledge and
agree that your Web site information (including name, URL etc.) may be utilised
by us. The information provided by us to you may be proprietary in nature. You
acknowledge that you are not a competitor of Living Designs co uk Ltd, and
agree not to share this information with any of our competitors. Any violation
of these terms and conditions may cause us to terminate this agreement.
Term
The term of this Agreement will begin upon our acceptance
of your application and will end when terminated by either party. Either we or
you may terminate this Agreement at any time, with or without cause, by giving
the other party written or emailed notice of termination. You are only eligible
to earn commission on sales occurring during the term of this Agreement only.
We may withhold your final payment to ensure that the correct amount is paid.
Your site is subject to periodic review. If we determine at any point after
acceptance into our scheme that your site is not suitable for the scheme, we
may unilaterally end the status of your site as an
Affiliate.
Miscellaneous
This Agreement will be governed by the
English law, without reference to rules governing choice of laws. Any action
relating to this Agreement must be brought in the courts of England and Wales,
and you irrevocably consent to the jurisdiction of such courts. You may not
assign this Agreement, by operation of law or otherwise, without our prior
written consent. Subject to that restriction, this Agreement will be binding
on, inure to the benefit of, and enforceable against the parties and their
respective successors and assigns. Our failure to enforce your strict
performance of any provision of this Agreement will not constitute a waiver of
our right to subsequently enforce such provision or any other provision of this
Agreement.
